Welcome to Dinopi! In this document, "we", "us", and "our" all mean Dinopi. We run this store and website, together with the related information, content, features, tools, products, and services, so that you, the customer, can shop a curated selection of products (the "Services"). The store is powered by Shopify, which is the platform we use to provide the Services to you.
The terms and conditions set out below, together with the additional policies they refer to (these "Terms of Service" or "Terms"), govern your rights and responsibilities when you use the Services.

We may change any product description at our sole discretion, at any time and without notice. We likewise reserve the right to stop offering any product at any time, and to limit the quantity of any product available to any person, geographic region, or jurisdiction on a case-by-case basis.

SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase. Dinopi reserves the right to accept or decline your order for any reason at its discretion, and your order is not accepted until Dinopi confirms that it is. Orders are accepted only once payment has been received and processed. Please review your order carefully before you submit it, since Dinopi may not be able to honour a request to cancel it after acceptance. If we decline, modify, or cancel an order, we will make reasonable efforts to notify you through the email address, billing address, and/or phone number you provided when ordering.
We accept returns and exchanges only in accordance with our Refund Policy.
You represent and warrant that you are buying for your own personal or household use, and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING
We may change prices, discounts, and promotions at any time without notice. You will pay the price that applied at the moment you placed your order, as set out in your order confirmation email. Unless we expressly state otherwise, displayed prices do not include shipping, handling, taxes, customs, or import charges.
Prices in our online store may differ from those charged in physical stores or in online or other stores operated by third parties. The Services may occasionally offer promotions that affect pricing; these are governed by their own terms and conditions, which are separate from these Terms. If a promotion's terms conflict with these Terms, the promotion's terms will apply.

SECTION 5 - SHIPPING AND DELIVERY
We are not liable for delays in shipping or delivery. Any delivery times we give are estimates only and are not guaranteed. We accept no responsibility for delays caused by shipping carriers, customs processing, or events outside our control. Title to the products and risk of loss pass to you when we hand them over to the carrier.

Our Services, including their content (such as, but not limited to, trademarks, brands, text, displays, images, graphics, product reviews, video, and audio) and the design, selection, and arrangement of that content, are the property of Dinopi, its affiliates, or its licensors, and are protected by U.S. and international copyright, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written permission. Except as expressly set out here, nothing in these Terms gives you, or should be interpreted as giving you, a licence or any other right under any copyright, patent, trademark, or other intellectual property belonging to Dinopi, Shopify, or any third party. Unauthorised use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted in these Terms are reserved by Dinopi.
The names, logos, product and service names, designs, and slogans of Dinopi are trademarks of Dinopi or its affiliates or licensors and may not be used without the prior written permission of Dinopi. The name, logo, product and service names, designs, and slogans of Shopify are trademarks belonging to Shopify. All other names, logos, product and service names, designs, and slogans appearing on the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS
The Services may give you access to third-party customer tools that we do not monitor, control, or have any input into.
You acknowledge and agree that we provide access to such tools "as is" and "as available", without warranties, representations, conditions, or endorsements of any kind. We have no liability whatsoever arising from or relating to your use of optional third-party tools.
Your use of optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with, and approve of, the terms on which the relevant third-party provider(s) supply those tools.

Shopify is the platform we use to offer the Services to you. Nonetheless, all sales and purchases made through our Store are made directly between you and Dinopi. By using the Services, you acknowledge and agree that Shopify bears no responsibility for any aspect of a sale between you and Dinopi, including any injury, damage, or loss arising from products and services you purchase. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Dinopi.

SECTION 10 - PRIVACY POLICY
All personal information we collect through the Services is subject to our Privacy Policy, which you can find here, and certain personal information may also be subject to Shopify's Privacy Policy, available here. By using the Services, you acknowledge that you have read both privacy policies.

We may terminate this agreement, or your access to the Services in whole or in part, at our sole discretion and at any time without notice, and you will remain liable for all amounts owed up to and including the date of termination.
The following sections will continue to apply after termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature ought to survive.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE WILL Dinopi, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES), WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

You agree to indemnify, defend, and hold harmless Dinopi, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to notify you promptly will not relieve you of your obligations unless you are materially prejudiced by it. We may take over the defence and settlement of any such claim at your expense, including the selection of counsel, but we will not settle a claim in a way that imposes non-monetary obligations on you without your consent, which you agree not to withhold unreasonably. Both you and Dinopi submit to the venue and personal jurisdiction of those courts.

The latest version of the Terms of Service is available on this page at any time.

You are responsible for checking our website periodically for changes. We will notify you of any material changes to these Terms where applicable law requires us to, and those changes will take effect on the date stated in the notice. Your continued use of or access to the Services after we post changes to these Terms of Service means you accept those changes.
